Master Services Agreement

Standard Terms and Conditions for Professional Services by Apples and Pears Holdings Ltd.

1. Scope of Services

Defined in the applicable Quote or Statement of Work accepted in writing by both parties.

2. Payment Terms

Invoices payable within 14 days. A 50 percent deposit confirms all engagements of 1 day or longer; balance due 5 business days before commencement.

3. Cancellation

More than 14 days: full deposit refund. 7-14 days: 50% forfeited. Under 7 days: full deposit forfeited.

4. Intellectual Property

All materials remain the property of Apples and Pears Holdings Ltd unless explicitly transferred in writing.

5. Confidentiality

Both parties treat non-public information as confidential.

6. Limitation of Liability

Total liability shall not exceed fees paid in the three months preceding the claim.

7. Governing Law

Governed by the laws of the United Arab Emirates. Disputes resolved by arbitration in the UAE.
